Stoly Real Estate Network Commission sharing agreement
The Company has determined to engage the Team Member for the benefit of the Company and pursuant to the terms and conditions of this Agreement. For and in consideration of this Agreement to engage the Team Member described below, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
The Term
The Team Member’s term shall commence on the Effective Date and continue as an “at will” agreement. The Company or Team Member may terminate this Agreement at any time and for any reason with written notice. The rights and obligations in Sections 4, 5 and 6 will survive any termination or expiration of this Agreement.
This agreement is amendable at any time with 30 days written notice to the Team Member by the company.
Commission
- Team Member shall be paid the commission set forth in Exhibit A to this Agreement. Company shall affect no withholdings from Team Member’s commission and Team Member shall be solely responsible for all social security, tax, disability, and other state and federal taxes or assessments related to the commission and the Services provided under this Agreement.
- Expenses. Unless expressly provided otherwise in writing by the Company, and except as expressly described in Exhibit A to this Agreement, Team Member will be solely responsible for all expenses incurred by Team Member in connection with performing the Services or otherwise performing Team Member’s obligations under this Agreement.
- Place of Work. Team Member’s place of work shall be the Team Member’s home or other locations as needed. There is no physical office requirement for the team.
Confidential Items and Trade Secrets
- Team Member agrees that all confidential and trade secrets remain with the company upon termination.
- All training and member area content is the exclusive property of Stoly Ventures.
- Anything developed and given to the team member during the time on the team; examples: Crm Automations, Marketing Materials, Website templates, will stay with the team member upon termination.
- Anything developed by the team member during this agreement will stay with the team member unless otherwise agreed to in writing.

Exclusion of Damages, Remedies, and Waiver
NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, EVEN IF SUCH DAMAGES WERE FORESEEABLE, PROVIDED THAT THIS EXCLUSION WILL NOT APPLY TO DAMAGES PAYABLE UNDER THE INDEMNIFICATION OBLIGATION IN THIS AGREEMENT OR CAUSED BY A PARTY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. THE REMEDIES SPECIFIED IN THIS AGREEMENT ARE CUMULATIVE AND IN ADDITION TO ANY REMEDIES AVAILABLE AT LAW OR IN EQUITY. WAIVER OF A BREACH OF ANY PROVISION OF THIS AGREEMENT DOES NOT CONSTITUTE A WAIVER OF ANY OTHER BREACH OF THE SAME PROVISION OR ANY OTHER PROVISION OF THIS AGREEMENT.
Exhibit A - Commission Splits
(1a) Commission Split options
Option 1
10% of gross commission income.
Option 2
A flat fee paid to Stoly Network of $1,599 per month (via Credit Card or ACH)
*You may change your split option once per 6 months. Please email the team and we will adjust as needed.
10% Commission Split Example
$550,000 Sale at 2.5% Commission closes.
Gross Commission = $550,000*.025=$13,750
Paid to Company = $13,750*.10=$1,375.00
Paid to Team Member = $13,750*.90=$12,375
(1b) *Your Split with REAL is subject to your commission AFTER the 10% paid to the team is paid.
Example from above:
$12,375 - 15%(REAL SPLIT)= $10,518.75 Net Commission paid to the Team Member.
The 10% split applies to all commission due to you, the team member.
If you lead a team, the commission is paid based on your part of the deal.
Example:
$10,000 Commission check and you have a team member who you split that check 50% with.
Your check is $5,000. 10% of the $5,000 = $500 is paid to Stoly Network.
The Commission Split applies to sales and referrals.
(1c) Closings each month that are subject to the 10% split are calculated based on the closing date, not the date they were opened // executed.
(1d) Receiving referrals from The Company
Any referrals given to The Agent by The Company will be subject to a 35% referral fee paid to the Company. The 10% team split is included in the 35% referral fee as mentioned in 1a above not above and beyond the 10%..
(1e) The fees charged by REAL will also be subject to the same split between agent and company.
- Brokerage (not required)
“Team Member” will be required to move their real estate license to REAL Broker with Steve Olson or Jennifer Olson named as your sponsor unless agreed to in advance in writing and outlined above. During the onboarding process, we will send instructions on the specific process to get activated.
If you are already at REAL, your sponsor stays in place, and nothing changes.
You are not required to Join REAL but the team fee will be $1,599 per month if at another brokerage.
Exhibit B - Team Fees
Team Onboarding Fee: $395
Per Transaction (TC) Fee: $495 (non REAL agents) $395 for REAL agents**
Monthly Tech Fee: $45
(Includes Access to Slack, member area, all courses, and our Live Event platform)
**This cost will vary slightly per market and will only apply once and if we have launched the TC team for your state. This will also include all of your marketing materials for buyers and sellers.
